2. Definitions

• "Client", "you", or "your" refers to any individual or business engaging our services.
• "Services" refers to web design, development, hosting, maintenance, SEO, and any other services we provide.
• "Website" refers to oprazero.com and all associated pages.

3. Services

OpraZero provides web design, development, and related digital services. The specific scope of work for each project will be agreed upon in writing before commencement. We reserve the right to subcontract any part of the work to qualified third parties.

All timelines provided are estimates and may be subject to change depending on project complexity, client responsiveness, and other factors beyond our control.

4. Payments

Payment terms will be outlined in individual project proposals or invoices. Unless otherwise agreed:

• A deposit of 50% is required before work commences.
• The remaining balance is due upon project completion, before the website goes live.
• Monthly retainer fees (hosting, support, maintenance) are billed in advance on a recurring basis.
• Late payments may incur interest at a rate of 4% above the Bank of England base rate.

5. Intellectual Property

Upon full payment, ownership of the final website design and custom code transfers to the client. However:

• OpraZero retains the right to display the work in our portfolio and marketing materials.
• Third-party assets (stock images, fonts, plugins) remain subject to their respective licences.
• Any proprietary tools, frameworks, or code libraries developed by OpraZero remain our intellectual property.

6. Client Responsibilities

To ensure smooth project delivery, clients agree to:

• Provide all necessary content, images, branding materials, and feedback in a timely manner.
• Review and approve deliverables within 5 business days of submission.
• Ensure that all materials provided to us do not infringe upon any third-party rights.
• Communicate any changes to project scope promptly and in writing.

7. Revisions & Changes

Each project includes a reasonable number of revisions as outlined in the project proposal. Additional revisions or changes to the agreed scope of work may incur extra charges, which will be communicated and agreed upon before any additional work is carried out.

8. Limitation of Liability

To the maximum extent permitted by law:

• OpraZero shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
• Our total liability shall not exceed the total amount paid by the client for the specific project in question.
• We are not responsible for any loss of data, revenue, or business opportunities resulting from website downtime or technical issues beyond our control.

9. Termination

Either party may terminate a project by providing written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. Deposits are non-refundable. Monthly retainer services may be cancelled with 30 days' written notice.

10. Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, or sensitive data shared during the course of a project. This obligation survives the termination of any agreement between the parties.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We reserve the right to update these terms and conditions at any time. Any changes will be posted on this page with an updated revision date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
